TERMS & CONDITIONS –
MICHAEL KIM PHOTOGRAPHY
1. Definitions
In these Terms and Conditions:
“The Photographer” means Michael Kim Photography, a trading name of Kimstates Ltd, a company registered in
England and Wales (Company Number 15355242).
“The Client” means any individual, group, or organisation booking or participating in a photography or videography
service.
“Images” means all photographs, video footage, digital files, edited or unedited material, and derivative works created
during the service.
2. Acceptance of Terms
By booking, attending, participating in, or permitting a photography session to proceed, the Client confirms that they
have read, understood, and agreed to these Terms and Conditions in full.
This agreement applies whether consent is given electronically, in writing, verbally, or by conduct.
3. Copyright Ownership
All Images created by the Photographer remain the exclusive intellectual property of the Photographer under the
Copyright, Designs and Patents Act 1988.
No copyright, title, or ownership rights are transferred to the Client under any circumstances unless expressly agreed
in writing and signed by a director of Kimstates Ltd.
4. Licence Granted to the Client
The Photographer grants the Client a non-exclusive, non-transferable, personal-use licence to use delivered Images
for personal, non-commercial purposes only, unless otherwise agreed in writing.
This licence does not permit resale, licensing, publication, commercial use, or alteration of Images without prior written
consent.
5. Photographer’s Rights of Use
The Client irrevocably grants the Photographer the unrestricted right to use, reproduce, publish, display, edit, crop,
adapt, and distribute any Images created, in whole or in part, for purposes including but not limited to:
- Portfolio and website use
- Social media and online platforms
- Advertising, marketing, and promotional materials
- Printed media, exhibitions, and competitions
- Business branding and third-party promotional use
This applies whether or not the Client or their children appear in the Images.
6. Children and Vulnerable Persons
Where Images include children or individuals under 18 years of age, the Client confirms that they are the parent or
legal guardian, or have full authority to grant consent on their behalf.
Such consent is granted without limitation, time restriction, or geographic restriction.
7. No Reliance on Verbal Statements
No verbal representations, informal assurances, social media messages, emails, or statements made before, during, or
after a shoot shall override, limit, or prejudice these Terms and Conditions.
Only a written agreement signed by a director of Kimstates Ltd may vary these terms.
8. Moral Rights
To the fullest extent permitted by law, the Client waives any moral rights in the Images, including the right to be
identified as the subject and the right to object to derogatory treatment.
9. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales, and
the courts of England and Wales shall have exclusive jurisdiction.
